Vera Reception: Additional Terms for Providers

Welcome to Vera Reception. By onboarding as a Provider, you are joining a curated ecosystem dedicated to raising the world’s skin game. We are committed to connecting high-intent Patients with the most trustworthy Providers in aesthetic medicine.

These Additional Terms for Providers ("Provider Terms") govern your use of the Vera Reception platform to manage your profile, receive Appointment Requests, and coordinate Aesthetic Treatments.

These Provider Terms supplement the Vera Terms of Service ("Terms"). Except as explicitly stated herein, the Terms apply in full to all Providers. If there is a conflict between the Terms and these Provider Terms, these Provider Terms control regarding your use of Vera Reception.

1. Provider Eligibility and "Vera Verified" Status

To use Vera Reception, you must be a legally established medical institution or aesthetic service provider.

Licensure

You represent and warrant that you and all medical staff (doctors, nurses, aestheticians) associated with your profile hold all necessary valid licenses, certifications, and permits required by local law (e.g., the Medical Service Act in Korea) to perform the Aesthetic Treatments you list.

Vera Verified

Access to Vera Reception is subject to Vera’s proprietary vetting process. Vera reserves the right, in its sole discretion, to grant, withhold, or revoke "Vera Verified" status and your access to the platform based on our quality standards, Patient Reviews, and operational reliability.

Profile Accuracy

You are solely responsible for ensuring that your profile— including your menu of Aesthetic Treatments, pricing, doctor credentials, and equipment lists—is accurate and up-to-date at all times. You must not list treatments you are not equipped or licensed to perform.

2. Medical Responsibility and Independence

Vera is a technology platform, not a medical provider.

No Medical Advice

You acknowledge that Vera provides technical tools (including AI-generated facial analysis via AIA) for informational purposes only. These tools do not constitute a medical diagnosis.

Sole Liability

You are solely responsible for all medical decisions, including the suitability of any Aesthetic Treatment for a Patient, obtaining informed consent, and the delivery of medical care. Vera assumes no liability for the outcome of any Treatment, complications, or dissatisfaction related to your medical services.

3. Appointments and Exclusivity

Vera Reception is designed to streamline the booking process for high-intent Patients.

Booking Exclusivity

If a Patient initiates an Appointment Request or inquiry through Vera, you agree to complete the booking process (confirmation and deposit collection) exclusively through Vera Reception. You may not encourage Patients to cancel their Vera request and book directly to avoid platform fees.

24-Hour Confirmation

When you receive an Appointment Request, you agree to accept or decline the request within 24 hours. Failure to respond within this window will result in the automatic expiration of the request and the refund of the Patient’s deposit.

No-Show and Cancellation Policy (if applicable)

You agree to adhere to the standardized Vera Cancellation Policy:

• Patient Cancellation > 72 hours: Full refund of deposit to Patient.
• Patient Cancellation < 72 hours: You retain 50% of the deposit.
• Patient Cancellation < 48 hours or No-Show: You retain 100% of the deposit.
• Provider Cancellation: If you cancel a confirmed Appointment, the deposit is fully refunded to the Patient, and Vera reserves the right to charge a penalty fee.

4. Fees and Payments

You agree to the fee structure defined in your Onboarding Order Form or as displayed in your Vera Reception dashboard. Standard fees include:

• SaaS Subscription: A recurring monthly fee for access to the Vera Reception software.
• Lead/Booking Fee: A flat fee per confirmed Appointment.

Escrow and Settlements (if applicable):

• Vera collects a deposit from the Patient at the time of the Appointment Request.
• Vera holds this deposit in escrow.
• Upon successful completion of the Appointment, Vera releases the deposit to you (net of any applicable fees or commissions owed to Vera).
• You are responsible for collecting the remaining balance of the treatment price directly from the Patient at your clinic.

5. Patient Data and Privacy

Your use of Patient data is strictly regulated to ensure trust and safety.

Privacy Standards: You agree to comply with the Vera Provider Privacy Standards, which are incorporated by reference into these terms. You must treat all Patient data (including photos, facial analysis, and medical history) as confidential medical records.

6. Content and Intellectual Property

Provider Content: By uploading photos, videos, or descriptions of your clinic ("Provider Content"), you grant Vera a non-exclusive, worldwide, royalty-free license to use, display, and modify this content to promote your listing and the Vera platform (e.g., in social media marketing or "Top Clinic" lists).

Patient Photos: You must not upload "Before & After" photos of Vera Patients to the Vera platform or your own social media unless you have obtained a specific, written model release from the Patient.

7. Insurance

You agree to obtain and maintain, at your sole expense, medical malpractice (professional liability) insurance and general liability insurance with limits appropriate for your Specialty and customary for Providers in your jurisdiction. You agree to provide proof of such insurance to Vera upon request.

8. Termination

By Provider: You may terminate your use of Vera Reception at any time by providing 30 days' written notice.

By Vera: Vera may terminate your access immediately and without notice if:

• You lose your medical license or accreditation.
• You violate the Vera Provider Privacy Standards.
• You repeatedly fail to confirm appointments (high expiry rate) or have a high rate of Patient complaints.
• You attempt to circumvent Vera fees (booking Vera leads off-platform).

Effect of Termination: Upon termination, your profile will be deactivated, and any outstanding commissions or fees owed to Vera become immediately due.

9. Modifications to these Provider Terms

Vera reserves the right to modify these Provider Terms at any time in accordance with the Terms.
